These terms are between you and Axidus LLC (“Axidus”, “we”, “us”), a web design and marketing agency in New Jersey. They cover your use of axidus.ai and any services we provide. By using the site or hiring us, you agree to them.
1. These terms
Each project also gets its own proposal, quote or agreement that sets out the scope, price and timeline. If that document says something different from these terms, the project document wins for that project.
2. Projects and proposals
- Work starts once you accept a proposal and pay any deposit it asks for.
- The proposal describes what’s included. Work outside it, or changes after work has started, may need a new quote, and we’ll always agree it with you first.
- Timelines depend on getting what we need from you on time, like content, feedback and account access.
- Ongoing services, such as SEO or ads management, run month to month unless your agreement says otherwise.
3. Payment
- You pay the amounts in your proposal, on the schedule it sets out. Invoices are due within the time shown on them.
- Fixed-price projects are priced up front; we don’t bill by the hour unless you’ve agreed to it.
- If an invoice goes unpaid, we may pause work until it’s settled.
- Deposits and payments for work already done are non-refundable, except where the law requires otherwise or your agreement says so.
4. Your part
You agree to give us accurate information, the content and access a project needs, and timely feedback. You confirm you have the rights to anything you give us to use, like logos, photos, text and product information, and that your business and offers follow the law and the rules of the platforms you use.
5. Who owns the work
Once you’ve paid in full, you own the final work we made for you: your website’s design and content, your logo and brand files, your graphics and copy. Your domain, website platform, ad accounts and other accounts are set up in your name and stay yours.
We keep ownership of our general know-how, tools, code libraries and templates we use across projects. Where they’re part of your work, you get a permanent license to use them as part of it. Third-party items like themes, plugins, fonts and stock images stay under their own licenses.
6. Showing our work
We may show work we’ve done for you in our portfolio and case studies, and mention you as a client, unless you ask us not to. We never share private information about your business without your permission.
7. Platforms, ad spend and tools
Your website may run on platforms such as Shopify, WordPress or Wix, and your marketing on services such as Google, Facebook, Instagram, Amazon, eBay and Walmart. Their fees, rules and changes are outside our control, and your use of them is under their terms. Ad budgets are paid by you directly to the ad platforms and are separate from our fees, unless your agreement says otherwise.
8. Results
We do careful work aimed at real results, and we’ll tell you honestly what we expect. But search rankings, AI answers, ad performance and sales depend on things we can’t control, like search engines, platforms, competitors and the market, so we can’t guarantee specific rankings, traffic, leads or revenue.
9. Accounts
If we give you an account to work with us online, keep your sign-in details private and tell us at security@axidus.aiif you think someone else has used it. You’re responsible for activity under your account.
10. Using this website
You’re welcome to read and share our site. Please don’t copy our content or design for your own use, attack or overload the site, or use it for anything unlawful. The Axidus name and logo are our trademarks. Our case studies show work for the businesses named in them; their names and logos belong to them.
11. Ending a project
Either of us can end a project or an ongoing service with written notice, as set out in your agreement (for month-to-month services, at the end of the current month). You pay for work done up to that point, and we hand over the finished work you’ve paid for.
12. Disclaimers and liability
Our website and its content are provided “as is”. To the extent the law allows, we’re not liable for indirect or consequential losses, such as lost profits, lost data or lost business, and our total liability for any claim relating to a project is limited to the fees you paid us for that project in the 12 months before the claim. You’re responsible for keeping backups of your own content and accounts. Some places don’t allow these limits, in which case they apply as far as the law permits.
13. Governing law
These terms are governed by the laws of the State of New Jersey, United States. Any dispute will be handled in the state or federal courts in New Jersey, though we’d always rather talk it through first.
14. General
- If part of these terms can’t be enforced, the rest still applies.
- Not enforcing a term right away doesn’t mean we give up the right to.
- Neither of us is responsible for delays caused by events outside our reasonable control.
- We may update these terms and will change the date at the top. Changes don’t affect projects already agreed unless we both accept them.
